SCA buy BSN Medical for 26 billion – Business

the SCA has entered into an agreement to acquire the medical technology company BSN Medical from private equity firm EQT.

the Purchase price amounted to 2.740 million of debt and kontantfri basis. The transaction is expected to be completed during the second quarter of 2017.

the Acquisition is expected to contribute positively to SCA’s earnings per share from year one and is completely lånefinansierat.

the Acquisition is expected to generate annual synergies of at least € 30 million, with full effect three years after the closing of the transaction.

Synergies include försäljningssynergier related to the increased growth from the cross-sale of BSN Medical’s products and SCA:s incontinence products, and cost synergies mainly in the production and leverantörsflöden and administration, said the SCA.

the restructuring costs are expected to amount to approximately eur 10 million and are expected to be taken during the first three years after the completion of the transaction.

the transaction costs, amounts to around eur 25 million, of which about 15 million will be reported as an item affecting comparability during the fourth quarter of 2016. The remaining cost will be reported as an item affecting comparability during the second quarter of 2017.
